Terms of Service

1. Eligibility

The Service is intended for business use. You must be at least 18 years old and authorised to enter into contracts in your jurisdiction. Consumer use by private individuals is not within the intended scope of the Service.

2. The Service

cpywrk is a content-pipeline platform that uses AI to help brands and agencies produce articles consistently, at scale, within a defined editorial standard. The platform assists with drafting, quality checks, brand-voice calibration, and distribution preparation. It does not guarantee that any content is factually accurate, legally compliant, or suitable for publication without your own editorial review.

You are responsible for reviewing all AI-generated content before publishing or distributing it. cpywrk is a tool, not an editor.

3. Accounts

You are responsible for maintaining the security of your account credentials. Notify us immediately at legal@cpywrk.com if you suspect unauthorised access. We are not liable for losses resulting from your failure to keep credentials secure.

You may not share access credentials or allow third parties to use your account. Each seat corresponds to one named user unless your plan explicitly includes team seats.

4. Acceptable Use

You agree not to use the Service to:

• Generate or distribute spam, deceptive content, or material that infringes third-party rights.
• Produce content that violates applicable laws, including consumer protection, advertising standards, or defamation law in your target jurisdiction.
• Attempt to reverse-engineer, scrape, or systematically extract data from the platform.
• Resell or sublicense access to the Service without our written permission.
• Interfere with the security or integrity of the platform or its underlying infrastructure.

We reserve the right to suspend accounts that violate these rules, without refund.

5. AI Content and Ownership

Content you input into cpywrk (briefs, brand guidelines, past corrections) and content generated by the Service on your behalf remains your property. We do not claim any ownership over your inputs or outputs.

We do not use your content to train AI models. Your data is processed by our AI provider (Anthropic) strictly to serve your requests, subject to Anthropic's usage policies, which similarly prohibit using customer data for model training without consent.

You are responsible for ensuring you have the necessary rights to any material you upload or reference within the Service.

6. Billing and Payment

Paid plans are billed in Euros (EUR) via Stripe on a monthly or annual cycle, beginning on the date you subscribe. Prices are listed on our pricing page and may be changed with 30 days' notice. Continued use of the Service after a price change constitutes acceptance.

All fees are exclusive of applicable taxes (such as VAT). You are responsible for any taxes applicable in your jurisdiction.

Payments that fail after two retries within 7 days may result in account suspension until payment is resolved.

7. Free Trial

We offer a free trial tier that lets you experience the platform with limited usage. No payment details are required to start a trial. Trial accounts are for evaluation purposes only and may have restrictions on output volume, integrations, or features. We may end a trial tier at any time with reasonable notice.

8. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods or unused credits.

If you cancel an annual plan within 14 days of renewal and have not generated more than [X] articles in the new period, contact us at legal@cpywrk.com and we will consider a pro-rated refund at our discretion.

9. Termination

Either party may terminate at any time. We may terminate your account immediately and without notice for material breach of these Terms, non-payment, or conduct we determine puts the platform or other users at risk.

On termination, your access to the Service ends immediately. We will retain your data for 60 days to allow export, after which it is permanently deleted. See our Privacy Policy for details.

10. Intellectual Property

The cpywrk platform — including its software, interface, prompts, quality-check logic, branding, and documentation — is the proprietary property of cpywrk. These Terms do not grant you any rights to our IP beyond the limited right to use the Service for your own business purposes.

11. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. We are not liable for downtime caused by third-party infrastructure (including Vercel or Anthropic) or events outside our reasonable control.

12. Limitation of Liability

To the maximum extent permitted by applicable law, cpywrk's total liability for any claim arising from these Terms or use of the Service is limited to the fees you paid in the 12 months preceding the claim, or €1,000 — whichever is greater.

We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or reputational harm, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence.

13. Governing Law

These Terms are governed by the laws of Denmark. Any disputes that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
